This Terms of Use Agreement (the "Agreement") is a legally binding contract between Aligned Studios Ltd, a company registered in England and Wales under company number 13139058, with its registered office at 140 Rayne Road, Braintree, CM7 2QR, UK ("Aligned Studios") and you, either as an individual or on behalf of an entity ("User"). This Agreement governs your access to and use of [Insert Aligned Studios' Website URL] (the "Website") and any other media form, channel, mobile website, or mobile application related, linked, or otherwise connected thereto.

By using the Website, you agree to comply with and be bound by this Agreement. If you disagree with any part of the terms, you are prohibited from using the Website, and your relationship with Aligned Studios will cease immediately. However, any obligations to pay Aligned Studios for services already rendered shall continue to be your ongoing responsibility.

1. Intellectual Property Rights

Unless otherwise indicated, the Website is the property of Aligned Studios Ltd and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics, irrespective of their format (hereinafter collectively or individually referred to as the "Content"), and the trademarks, service marks, and logos contained therein (the "Marks") are owned and controlled by Aligned Studios Ltd. They are protected by copyright, trademark, and other applicable intellectual property laws of the United Kingdom, foreign jurisdictions, and international conventions. The Content and Marks are provided "As-Is" for your information and personal use only.

Except as expressly stated in this Agreement, no part of the Website or Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever without the express prior written permission of Aligned Studios Ltd. Aligned Studios Ltd reserves all rights not expressly granted to you in and to the Website, Content, and Marks.

2. Ownership of Materials

Notwithstanding Aligned Studios Ltd's ownership of any feedback or submissions as described in Paragraph 4 ("User Feedback"), all designs and original source files created on the User's behalf ("Projects") shall belong to the User. The User will be the sole owner of the copyrights for all Projects under both UK and U.S. intellectual property laws.

Should any operation of law cause Aligned Studios Ltd to become the owner, in whole or in part, of a Project rather than the User, Aligned Studios Ltd irrevocably and perpetually assigns its entire interest in the Project to the User without limitation.

The User warrants that any and all materials provided to Aligned Studios Ltd as examples or as materials to be incorporated into a project during the design process are owned by the User. The User also warrants that these materials do not infringe upon or misappropriate any third party’s rights, including, but not limited to, all intellectual property rights and any right of publicity.

Aligned Studios Ltd reserves the right to publicly share the User's design work (on social media, website, etc.) unless otherwise agreed upon, as stated in section 18 of this Agreement.

3. Third-Party Fonts

In the event that any Project incorporates fonts that are not owned by Aligned Studios Ltd and require a commercial license for the User to legally reproduce, distribute, or publicly display the Project ("Third-Party Fonts"), Aligned Studios Ltd will inform the User in writing. This notification will specify that one or more Third-Party Fonts have been used in the Project and that the User will need to purchase the necessary licenses for these Third-Party Fonts from their respective rights-holders in order to legally reproduce, distribute, or publicly display the Project. The notice will include sufficient information for the User to identify which licenses are required and how to contact the appropriate rights-holders to purchase said licenses.

As long as Aligned Studios Ltd has informed the User of the inclusion of Third-Party Fonts as described above, the User assumes all responsibility for any consequences resulting from a failure to purchase the necessary licenses for any Third-Party Fonts incorporated into a Project.

4. User Representations

By using the Website, you represent and warrant the following:

• You have the legal capacity to enter into this Agreement and agree to comply with these Terms of Use.
• You are not a minor in the jurisdiction of your residence.
• You will not access the Website through automated or non-human means, unless explicitly permitted to do so by Aligned Studios Ltd.
